As i said in my original mail i used "Resource Hacker". This program is
available from :

http://www.rpi.net.au/~ajohnson/resourcehacker/

[tip: www.google.com is a very good search engine, and a simple search would
have found the program]

basically you then open the rxvt.exe file with resource hacker and goto
Action->Replace Icon and do the business :-)
