Ok, cleaned everything out and reran everything:

./apache-1.3.33-2.sh  prep     
./apache-1.3.33-2.sh  configure
./apache-1.3.33-2.sh  make
./apache-1.3.33-2.sh  make     #-must run make twice for libhttpd.dll
 ...
