You need some updated distributions from Simtel (see explaination):
  http://clio.rice.edu/djgpp/win2k/main_203.htm

In particular, you should get a new copy of DJDEV203.ZIP and BNU2112B.ZIP
(Your GCC version 3.03 is already XP ready and you don't need to get a
compiler upgrade).  You might need to get new file utils or bash
depending on what you are doing.  Once you have your environment working
you can rebuild anything else you might need using the updated DJDEV203.
