At least I didn't get problems when tried to build UPX-0.99.2  for DJGPP with:
	native compiler for DJGPP under Win98
	cross-compiler under Linux (make target=djgpp CC=i586-pc-msdosdjgpp-gcc)

So is the problem reproducible ? (does it happen once more if You rerurn
		make target=djgpp
If no, then perhaps have trouble with QDPMI. Try using CWSDPMI instead
