Thanks, Eli. As usual, your suggestions point me in the rigth direction.
It worked with simple strings. That led me to discover other wonders
in the world of special character quoting and escaping. I had
been setting the command line for my test program in the provided
field in the MS Developer studio WITH the \\ instead of \ because
a portion of it was quoted. Well, the doubles are NOT needed there.

The problem with the real program turned out to be another
aspect of the / vs the \, mixed in with the MV CreateProcess()
being absolutely unaware of Win 95 path... had to
convert to short path.
