You need to have EMM386 in your CONFIG.SYS to be able to use Upper memory, 
also you need DOS=UMB.

You also need to have NOEMS or RAM on the EMM386 line to tell it to create 
UMB's.

Try adding the following lines to your CONFIG.SYS:
DEVICE=C:\WINDOWS\EMM386.EXE NOEMS
DOS=HIGH,UMB
