I suggest that you use zoo (at least as a basis for modification).  It
satisifes all of your criteria, copied below, except as noted:

	Yes.
>(3) must be able to ship with commercial distributions of djgpp
	Yes.
>(4) should support comments about the *archive* (available when listing)
	Yes.
>(5) should support mutli-floppy unpacking

	Yes.  (Copyright essentially equivalent to GPL.)
 (+) should preserve empty directories
	No.
