See also this FAQ entry: http://cygwin.com/faq/faq.using.html#faq.using.bloda McAfee has occasionally been known to cause problems for cygwin by keeping file handles open (as part of the on-access virus checking) after the program thinks it has closed them. Try disabling the on-access scanner while you run rebaseall.
