There are links to sites that contain the X11R6.4 libs from the main
Cygwin sites.  Just go the the "related sites" page and you should be able 
get to where you need to go from there.

Yes, it works in both windowing modes
Just start up Exceed and spawn xterms to your hearts delight.
(Just make sure DISPLAY is set to localhost:0.0)
