Isn't Autoconf overkill for this?  I could simply do something like
this in the Makefile:

   go32stub.h: go32stub.dist
     	(stubify -g stub.exe && bin2h ...) &> /dev/null || cp -p $< $@

(I omitted the bin2h arguments for brevity).  Isn't this good enough?

Right, I forgot about bin2h.  That would eliminate the need for od.
